Agreement to Our Legal Terms
We are Kube Consultants t/a The Counselling Couch ("Company," "we," "us," or "our"), a company registered in the United Kingdom at 82 Parkmanor Avenue, Glasgow G53 7ZD.
We operate the website https://thecounsellingcouch.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Kube Consultants t/a The Counselling Couch, concerning your access to and use of the Services. By accessing the Services, you agree to be bound by these Legal Terms. If you do not agree with all of these Legal Terms, you are expressly prohibited from using the Services and must discontinue use immediately.
Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated by reference. We may update these Legal Terms and will alert you by updating the "Last updated" date above. It is your responsibility to review these Legal Terms periodically. Your continued use of the Services after posting of revised Legal Terms means you accept the changes.
The Services are intended for users at least 13 years of age. Minors must have permission and be directly supervised by a parent or guardian who agrees to these Legal Terms. We recommend you print a copy for your records.

1. Our Services
The information provided via the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation or would subject us to any registration requirement. Users who access the Services from other locations do so on their own initiative and are responsible for compliance with local laws.
The Services are not tailored to comply with industry-specific regulations (e.g., HIPAA, FISMA). Do not use the Services if your interactions would be subject to such laws. You may not use the Services in a way that would violate the GLBA.
2. Intellectual Property Rights
Our intellectual property
We own or license all intellectual property rights in the Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (the "Content"), and the trademarks, service marks, and logos (the "Marks"). The Content and Marks are provided "AS IS" for your personal, non-commercial use or internal business purpose only.
Your use of our Services
Subject to your compliance with these Legal Terms (including Prohibited Activities below), we grant you a non-exclusive, non-transferable, revocable licence to:
- access the Services; and
- download or print portions of the Content to which you have proper access,
solely for your personal, non-commercial use or internal business purpose.

Any breach of these Intellectual Property Rights is a material breach and will terminate your right to use the Services.
Your submissions
By sending us any question, comment, suggestion, idea, feedback, or other information about the Services ("Submissions"), you assign to us all intellectual property rights in such Submissions and agree we may use them for any lawful purpose without acknowledgment or compensation.
You confirm you have read Prohibited Activities and will not submit unlawful or infringing content; you waive moral rights to the extent permitted by law; you warrant originality/rights to your Submissions; and you warrant your Submissions are not confidential. You are solely responsible for your Submissions and agree to reimburse us for losses arising from your breach, third-party IP claims, or applicable law.
3. User Representations
By using the Services, you represent and warrant that:
- you have legal capacity and agree to these Legal Terms;
- you are not under 13;
- if a minor, you have parental permission;
- you will not access the Services through automated/non-human means;
- you will not use the Services for any illegal or unauthorized purpose; and
- your use complies with applicable laws.
We may suspend or terminate your account for inaccurate information.
4. Prohibited Activities
You may not use the Services for any purpose other than those we make available or in connection with commercial endeavors not endorsed by us. Prohibitions include, without limitation:
- Data scraping/compilation without permission
- Security circumvention
- Impersonation
- Uploading malware or passive collection mechanisms
- Automated system use
- Removing copyright notices
- Harassment
- Reverse engineering
- Unauthorized scripts
- Using purchasing agents
- Collecting user data for unsolicited email
- Competing with us via the Services
- Advertising, selling goods/services via the Services
- Selling/transferring your profile
5. User Generated Contributions
The Services do not offer users the ability to submit or post content. If we provide such opportunities, any content you create, submit, or make available ("Contributions") may be viewable by others and third-party websites. You represent and warrant that you have all necessary rights, consents, and permissions for your Contributions; that your Contributions are accurate and not misleading; that your Contributions are lawful and do not violate any laws or third-party rights. Violations may result in suspension or termination.
6. Contribution Licence
You agree we may access, store, process, and use information and personal data that you provide and your choices (including settings). By submitting suggestions or other feedback, you agree we may use and share such feedback for any purpose without compensation.
We do not assert ownership over your Contributions. You retain full ownership and associated IP/proprietary rights. We are not liable for your statements and you agree to refrain from legal action against us regarding your Contributions.
7. Third-Party Websites and Content
The Services may contain links to third-party websites and content. We do not monitor or check third-party websites or content for accuracy or appropriateness and are not responsible for them. Your use of third-party websites/content is at your own risk and subject to their terms and policies. We do not endorse third-party products/services and are not liable for related harm or losses.
8. Services Management
We may, but are not obligated to: monitor the Services for violations; take legal action; restrict/disable content; remove excessive/burdensome files; and otherwise manage the Services to protect our rights and ensure proper functioning.
9. Privacy Policy
We care about data privacy and security. By using the Services, you agree to be bound by our Privacy Policy posted on the Services (incorporated herein). The Services are hosted in the United Kingdom; by using them from other regions, you consent to transfer and processing in the UK. We do not knowingly collect information from children under 13 and will delete such information if discovered.
10. Term and Termination
These Legal Terms remain in effect while you use the Services. We may deny access and use (including blocking IPs) to any person for any reason, including breach of these Legal Terms or law, and may terminate participation or delete content at any time without warning. If terminated/suspended, you are prohibited from registering a new account under any name. We may seek civil, criminal, and injunctive relief.
11. Modifications and Interruptions
We may change, modify, or remove contents of the Services at any time without notice and have no obligation to update information. We are not liable for modifications, price changes, suspension, or discontinuance. Availability is not guaranteed; downtime or discontinuance may occur without liability. Nothing obligates us to maintain/support the Services or provide corrections/updates.
12. Governing Law
These Legal Terms are governed by the laws of the United Kingdom (excluding the UN CISG). If your habitual residence is in the EU and you are a consumer, you retain protections of mandatory laws of your country of residence. Both parties submit to the non-exclusive jurisdiction of the courts of Scotland.
13. Dispute Resolution
Informal Negotiations
The parties agree to attempt to resolve disputes informally for 30 days before arbitration.
Binding Arbitration
Disputes shall be determined by one arbitrator under the Arbitration and Internal Rules of the European Court of Arbitration (seat: Glasgow, UK; language: English; governing law: UK).
Restrictions
Arbitration is limited to the parties; no class actions or representative actions.
Exceptions
IP enforcement/validity, theft/piracy/privacy invasion/unauthorized use, and claims for injunctive relief are excluded. If this clause is found illegal/unenforceable in part, such disputes will be decided by a court of competent jurisdiction identified above.
14. Corrections
Information on the Services may contain errors or omissions (including descriptions, pricing, availability). We reserve the right to correct and update without prior notice.
15. Disclaimer
The Services are provided AS-IS and AS-AVAILABLE. To the fullest extent permitted by law, we disclaim all warranties (express or implied), including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant completeness or accuracy and are not responsible for errors, personal injury/property damage, unauthorized access, transmission interruptions, malware transmission, or content errors/omissions. We do not endorse third-party products/services and are not responsible for monitoring related transactions. Exercise your best judgment and caution.
16. Limitations of Liability
We (and our directors, employees, agents) will not be liable for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages (including lost profit, revenue, data) arising from use of the Services, even if advised of possibility. Our liability to you will at all times be limited to the amount paid, if any, by you to us. Some jurisdictions do not allow certain limitations; those limitations may not apply to you.
17. Indemnification
You agree to defend, indemnify, and hold us harmless (including affiliates and personnel) from claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of:
- your use of the Services;
- your breach of these Legal Terms;
- your breach of representations/warranties;
- your violation of third-party rights; or
- your harmful acts toward other users.
We may assume exclusive defense and control at your expense, and you agree to cooperate. We will use reasonable efforts to notify you of any claim.
18. User Data
We will maintain certain data transmitted to the Services for performance management and related purposes. Although we perform routine backups, you are solely responsible for all data you transmit or that relates to your activities. We have no liability for any loss or corruption of such data.
19. Electronic Communications, Transactions, and Signatures
Visiting the Services, emailing us, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that agreements, notices, disclosures, and other communications we provide electronically satisfy legal writing requirements. You agree to the use of electronic signatures, contracts, orders, and records, and to electronic delivery of notices, policies, and transaction records. You waive rights under laws requiring non-electronic records or non-electronic payments/credits.
20. California Users and Residents
If any complaint with us is not satisfactorily resolved, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210 or (916) 445-1254.
21. Miscellaneous
These Legal Terms and any posted policies or operating rules constitute the entire agreement between you and us. Our failure to enforce any right does not waive it. These Legal Terms operate to the fullest extent permitted by law. We may assign our rights/obligations at any time. We are not liable for delays/failures caused by events beyond reasonable control. If any provision is unlawful, void, or unenforceable, it is severable and does not affect remaining provisions. No joint venture, partnership, employment, or agency relationship is created. These Legal Terms will not be construed against us as drafter. You waive defenses based on the electronic form and lack of signatures.
